Welcome to Latitude ("Latitude", "we", "our", or "us"). These Terms of Use ("Terms") govern your access to and use of our website and related content, materials, and functionality, and any Sandbox (as defined below) made available by Latitude (collectively, "Site").
The Site is intended for business use by institutional customers and is not directed to individuals for personal, family, or household use. By accessing or using the Site, whether as a business, institutional customer, authorized representative thereof, or end user ("User", "you" or "your"), you agree to be bound by these Terms and also acknowledge and consent to our use of your personal data in accordance with our Privacy Policy located at latitude.xyz/privacy, which is incorporated into these Terms by reference. If you do not agree to these Terms, you may not and are not permitted to access or use the Site.
These Terms do not govern the provision of Latitude’s products or services (“Services”). The Sandbox does not constitute provision of Services. Production use of Latitude’s Services is governed by separate agreements (each, a “Services Agreement”). In the event of any conflict between these Terms and a Services Agreement, the Services Agreement will control. Any references on the Site to licensing or regulatory status apply only to specific services provided under a separate Services Agreement and do not apply to all activities described on the Site.
1. Permitted Use
1.1 Legitimate Business Purpose
You agree to use the Site solely for legitimate business purposes and in accordance with these Terms, any applicable Services Agreement, and all applicable laws and regulations. Your license to use the Site is subject to your compliance with these Terms. The Site may not be distributed to or used by any person or entity in any jurisdiction where such distribution or use would be contrary to applicable law or regulation.
1.1 Sandbox Access and Use
Latitude may make available to you a limited, non-production test environment of its platform, including applications, dashboards, APIs, interfaces, tools, documentation, and other materials and systems (“Sandbox”).
Purpose and License. Subject to your compliance with these Terms, Latitude may grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Sandbox solely for your internal evaluation purposes in connection with a potential commercial relationship between you and Latitude.
Non-Production Environment. You acknowledge that the Sandbox is a simulated, non-production environment and may not reflect the functionality, performance, availability, or compliance characteristics of the Services. All transactions within the Sandbox are test transactions only and do not involve real fiat currency or digital assets, or actual settlement.
No Custody; No Value. You acknowledge that Latitude does not receive, hold, safeguard, or control real fiat currency or digital assets within the Sandbox, and that any balances, transactions, or outputs within the Sandbox have no real-world value and cannot be withdrawn, transferred, or redeemed.
No Regulatory Reliance. Access to or use of the Sandbox does not constitute, and should not be interpreted as, (i) an offer of regulated financial services, (ii) confirmation of any regulatory status, or (iii) approval of any use case under applicable law or regulation.
No Account; No Approval. Access to the Sandbox does not constitute access to a Latitude account or to production use of Latitude’s Services. Neither does access to the Sandbox indicate or imply that you have satisfied, or will satisfy, any onboarding, know-your-customer, compliance, or regulatory requirements required to use Latitude’s Services.
No Obligation. Latitude may modify, suspend, or discontinue the Sandbox at any time without notice. Providing access to the Sandbox does not obligate Latitude to enter into any further agreement or any commercial relationship with you. Any production use of Latitude’s Services requires execution of a Services Agreement.
Authorized Users. You are responsible for all individuals to whom you provide access to the Sandbox, and for their acts and omissions and their compliance with these Terms.
Additional Restrictions. In addition to the restrictions set forth elsewhere in these Terms, you agree not to:
- use the Sandbox for any production or live use case;
- attempt to process or simulate real transactions involving actual funds or assets; or
- bypass or attempt to bypass any security or access controls.
Monitoring. Latitude may monitor use of the Sandbox for security, compliance, and product improvement purposes.
Feedback. You may provide feedback regarding the Sandbox, and Latitude may use such feedback without restriction or obligation.
2. Prohibited Activities
2.1 General Prohibitions
You may not, and you agree not to, on your own behalf or on behalf of any other person or entity:
- use the Site for any purpose other than as expressly permitted under these Terms;
- use automated systems (including bots or scripts) in a manner that disrupts or interferes with the Site;
- circumvent, disable, interfere with, or disrupt the security or integrity measures of the Site;
- attempt to gain unauthorized access to the Site, or to any system, account, or data;
- reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying ideas of the Site;
- introduce any material that is malicious or technologically harmful to the Site, its users, or any of its related utilities or functionalities, or otherwise interfere with the proper functioning of the Site;
- engage in fraud, deception, manipulation, or misleading conduct;
- use the Site to transmit or facilitate illegal, harmful, offensive, or fraudulent content or activity;
- impersonate any person or entity or misrepresent your affiliation;
- access or use the Site to build, develop, or improve a competing or similar product or service;
- copy, reproduce, republish, upload, post, publicly display, transmit, or distribute any part of the Site or Content;
- remove, obscure, or alter any proprietary rights notices contained on the Site or Content; or
- make false or misleading statements about Latitude or its products or services.
2.2 Prohibited and Restricted Jurisdictions; Sanctions Compliance
Latitude's Site may not be accessed or used by any person or entity:
- located in, organized under the laws of, or ordinarily resident in any jurisdiction subject to comprehensive U.S. sanctions administered by the Office of Foreign Assets Control ("OFAC"), currently: Cuba, Iran, North Korea (DPRK), the Crimea, Donetsk People's Republic (DNR), and Luhansk People's Republic (LNR) regions of Ukraine (each, a "Prohibited Jurisdiction");
- located in, organized under the laws of, or ordinarily resident in any of the following jurisdictions that Latitude has designated as restricted based on its own risk assessment (each, a "Latitude-Restricted Jurisdiction"):
- Russia
- Syria
- Venezuela
- Myanmar (Burma)
- Belarus
- identified on, or owned or controlled by any person or entity identified on, OFAC's Specially Designated Nationals and Blocked Persons List ("SDN List"), the Sectoral Sanctions Identifications List, or any other restricted-party list maintained by OFAC, the U.S. Department of State, or the U.S. Department of Commerce (collectively, "Restricted Party Lists"); or
- otherwise prohibited from transacting with U.S. persons under applicable U.S. sanctions laws, executive orders, or regulations.
By accessing or using the Site, you represent and warrant that neither you nor your beneficial owners fall within categories (a) through (d) above. You agree to notify Latitude immediately if any such status changes during the term of your use.
Latitude reserves the right to block, suspend, or terminate Site access — without prior notice — if it determines, in its sole discretion, that a user may be associated with a Prohibited Jurisdiction or a Latitude-Restricted Jurisdiction, or may be a Restricted Party. Latitude may implement technical controls, including IP-based geoblocking, device fingerprinting, and other screening measures, to enforce this section.
The lists of Prohibited Jurisdictions and Latitude-Restricted Jurisdictions are subject to change. Latitude will update this section to reflect material changes to OFAC's comprehensive sanctions programs and may add or remove Latitude-Restricted Jurisdictions at its discretion based on its evolving risk assessment.
2.3 Prohibited Business Activities
You may not, and you agree not to, use the Site on your own behalf or on behalf of any other person or entity in connection with any of the following:
- illegal or fraudulent activities, including money laundering, terrorist financing, sanctions evasion, or tax evasion;
- access to or use of the Site in or from any jurisdiction subject to applicable sanctions or export control restrictions, or in violation of such laws;
- unlicensed or unauthorized financial services, including money transmission, lending, investment services, or payment processing on behalf of any third party without required approvals;
- human trafficking, forced labor, or exploitation;
- adult content or services, prostitution, or escort services;
- sale or distribution of illegal drugs;
- gambling, betting, or games of chance where prohibited or unlicensed;
- Ponzi schemes, pyramid schemes, or deceptive marketing practices;
- counterfeit or infringing goods or services;
- violations of the rights of any third party, including intellectual property rights; or
- any activity that would cause Latitude to violate applicable law or regulation.
3. Use of Third-Party Content
The Site may include content and materials provided by third parties ("Third-Party Content"), including without limitation materials provided by Latitude contributors, bloggers, or other third-party providers (“Partners”). The Site may also contain links or you may be sent via the Site to other websites ("Third-Party Websites"), or we may make services provided by third parties ("Third-Party Services") available through the Site as a convenience.
We are not responsible, or liable to you or any third party, for any Third-Party Websites, Third-Party Content, or Third-Party Services made available or accessed through the Site. You agree that you bear sole and absolute risk and responsibility to evaluate and select any third-party functionality with which you interact via the Site. Your use of Third-Party Websites, Third-Party Content, and Third-Party Services is subject to the applicable terms of use set out by the relevant third-party.
4. Intellectual Property
4.1 Ownership
All intellectual property rights in the Site, including all software, functionality, interfaces, APIs, databases, designs, text, graphics, and other content made available through the Site (collectively, “Content”), as well as all trademarks, service marks, names, logos, and branding (“Marks”), are owned by or licensed to Latitude and are protected by applicable intellectual property and proprietary rights laws. Except as expressly provided in these Terms, no right, title, or interest in or to the Site, the Content, or the Marks is transferred to you, and all rights not expressly granted are reserved by Latitude.
4.2 Usage Information
Latitude owns all data relating to the access to and use of the Site, including performance data, usage statistics, metadata (in anonymized or aggregated form), and activity logs (collectively, “Usage Information”). Latitude may use Usage Information:
- to operate, maintain, and improve the Site;
- to analyze usage trends; and
- for any lawful business purpose.
Except as expressly provided herein, nothing in these Terms grants you any rights to Usage Information.
4.3 Marks
"Latitude", “Latitude Global”, and "Latitude Payments", and all related names, logos, product and service names, designs, and slogans are trademarks of Latitude or its affiliates or licensors. You must not use these marks without the prior written permission of Latitude. Any other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners.
5. Disclaimer and Limitation of Liability
5.1 No Warranty
The Site is provided on an "AS IS" and "AS AVAILABLE" basis WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, LATITUDE EXPLICITLY DISCLAIMS ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF OR RELATED TO THE COURSE OF DEALING OR USAGE OF TRADE. Latitude makes no warranty that the Site will meet your requirements or be available on an uninterrupted, secure, or error-free basis. Latitude makes no warranty regarding the quality, accuracy, timeliness, truthfulness, completeness, or reliability of any information or content on the Site. Latitude does not guarantee that the Site will be available at all times and may suspend or discontinue the Site at any time without notice. Nothing on the Site constitutes legal, financial, tax, investment, or other advice. Any reliance you place on this information or content is strictly at your own risk.
You assume all risks associated with using the Site. To the fullest extent permitted by law, Latitude will not be liable for any losses due to or in any way arising from or related to the use of the Site.
5.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER LATITUDE NOR ITS SERVICE PROVIDERS INVOLVED IN PROVIDING ACCESS TO THE SITE WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY DAMAGES FOR LOST PROFITS, LOST REVENUES, LOST SAVINGS, LOST BUSINESS OPPORTUNITY, LOSS OF DATA OR GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, SYSTEM FAILURE, OR THE COST OF SUBSTITUTE SERVICES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, OR FROM THE USE OF OR INABILITY TO USE THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT LATITUDE OR ITS AFFILIATES, PARTNERS, OR SERVICE PROVIDERS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE, EVEN IF A LIMITED REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED IN ITS ESSENTIAL PURPOSE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL LATITUDE'S AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF OR INABILITY TO USE THE SITE EXCEED ONE HUNDRED U.S. DOLLARS ($100).
6. Indemnification
You agree to indemnify, defend, and hold harmless Latitude, its affiliates, and its and their directors, officers, employees, agents, and any other representative from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
- your use of the Site;
- your breach of these Terms;
- your violation of any applicable law or regulation; or
- any claim by a third party arising from or relating to your business activities.
7. Termination
We may suspend or terminate your access to or use of the Site at any time, with or without notice, for any reason or for no reason including, without limitation, where you violate these Terms or applicable law, or where Latitude determines that such action is necessary for compliance, risk management, or Partner requirements. Upon termination, all rights granted to you under these Terms will cease immediately. Any provisions of these Terms that by their nature should survive termination, including, without limitation, provisions relating to disclaimers, limitation of liability, indemnification, and governing law, will survive termination.
8. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Delaware, without respect to its conflicts of laws principles. Any disputes arising out of or relating to these Terms must be resolved exclusively in the federal and state courts located in the state of Delaware, unless otherwise required by applicable law. Latitude may seek injunctive or equitable relief in any court of competent jurisdiction.
9. Modifications to Terms or Site
Latitude reserves the right to modify these Terms, in whole or in part, at any time and at its sole discretion. If we make changes, we will provide notice by posting the updated Terms on the Site and updating the “Last Updated” date. We may also provide notice through other reasonable means, including email. Any modification will become effective upon posting unless otherwise specified. If you do not agree to the modified Terms, you must stop using the Site.
In addition, we may, but have no obligation to, update, modify, or remove content on the Site at any time without notice.
10. Miscellaneous
In the event of a conflict between these Terms and any Services Agreement, the Services Agreement will govern your use of the Site. These Terms constitute the entire and exclusive understanding and agreement between Latitude and you regarding the Site, and these Terms supersede and replace all prior oral or written understandings or agreements between Latitude and you regarding the Site.
If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the other provisions of these Terms will remain in full force and effect.
Nothing in these Terms creates any agency, partnership, joint venture, or fiduciary relationship between you and Latitude.
Except where provided by applicable law in your jurisdiction, you may not assign or transfer these Terms, by operation of law or otherwise, without Latitude's prior written consent. Any attempt by you to assign or transfer these Terms without Latitude's consent will be null and void. Latitude may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.
Headings and the summary explanations at the beginning of each Section of these Terms are for reference only and do not affect the parties' rights and obligations hereunder. As used herein, "may" means "has the right, but not the obligation, to," and "includes" and its variations means "includes, but is not limited to."
Any notices or other communications provided by Latitude under these Terms may be provided by posting to the Site, by email, or through other electronic communication methods.
Latitude's failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. The waiver of any right or provision will be effective only if in writing and signed by a duly authorized representative of Latitude. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise.
You agree that we may communicate with you electronically. Such electronic communications may consist of e-mail, notices posted on the Site, forms you complete online, and other communications via any other electronic medium or social media. You agree that all agreements, notices, disclosures, and other communications we send to you electronically will satisfy any requirement that such communication be in writing.
